1. Acceptance of Terms

By accessing or using the UltraAlgo website, platform, software, indicators, signals, educational materials, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately discontinue use of the Services.

These Terms constitute a legally binding agreement between you ("User") and UltraAlgo ("Company," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the Services following any modification constitutes your acceptance of the revised Terms.

2. Description of Services

UltraAlgo provides algorithmic trading indicators, charting tools, market analysis, educational content, and related software products designed for use with third-party trading platforms. Our Services are provided strictly for educational and informational purposes only. Nothing on this platform constitutes financial advice, investment advice, trading advice, or any other type of professional advice.

3. Eligibility

You must be at least 18 years of age and capable of forming a binding contract under applicable law to use our Services. By using the Services, you represent and warrant that you meet these requirements. UltraAlgo reserves the right to refuse service to anyone for any reason at any time.

4. Account Registration

Certain features of the Services require account registration. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You may not share your account credentials or allow others to access the Services through your account. One subscription is valid for one individual user only.

5. Subscription & Payment

Access to certain Services requires a paid subscription. By subscribing, you authorize us to charge your selected payment method on a recurring basis at the rate disclosed at time of purchase. Subscription fees are billed in advance for each billing period.

All prices are in USD and are subject to change. We will provide reasonable notice of any price changes before they take effect. Continued use of the Services after a price change constitutes your agreement to the new pricing.

You are responsible for all applicable taxes. We reserve the right to suspend or terminate your access for non-payment.

6. Prohibited Uses

You agree not to use the Services to:

• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without express written permission from UltraAlgo
• Share, distribute, or publicly display any indicators, signals, or proprietary content obtained through the Services
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any software component
• Use automated scripts, bots, or scraping tools to access the Services
• Violate any applicable local, state, national, or international law or regulation
• Engage in any conduct that restricts or inhibits any other user's use or enjoyment of the Services
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity

7. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, software, and the UltraAlgo indicators and algorithms — are the exclusive property of UltraAlgo and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial use, subject to these Terms. No license or right is granted by implication or otherwise.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

UltraAlgo does not warrant that: (a) the Services will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Services are free of viruses or other harmful components; (d) the results of using the Services will meet your requirements; or (e) any trading signals, indicators, or analysis will be accurate, profitable, or suitable for your situation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ULTRALGO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Services
• Any conduct or content of any third party on the Services
• Any financial losses incurred as a result of trading decisions made based on information provided through the Services
• Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO ULTRALGO IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless UltraAlgo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

11. Termination

We reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason. Upon termination, your right to use the Services will immediately cease.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the American Arbitration Association rules.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
